Welcome to Soundstamp! The terms "we", "us" and "our" refer to Soundstamp (Soundstamp LLC). Soundstamp operates this store and website, including all related information, content, features, tools, products and services in order to provide you, the customer, with a curated shopping experience (the "Services"). Soundstamp is powered by Shopify, which enables us to provide the Services to you.

The below terms and conditions, together with any policies referenced herein (these "Terms of Service" or "Terms") describe your rights and responsibilities when you use the Services. Please read these Terms carefully, as they include important information about your legal rights and cover areas such as warranty disclaimers, limitations of liability, and a binding arbitration provision and class-action waiver (Section 22). By visiting, interacting with or using our Services, you agree to be bound by these Terms and our Privacy Policy [LINK]. If you do not agree, you should not use or access our Services.

Content Rights & Reproduction Authorization

Soundstamp manufactures custom, made-to-order products that reproduce audio, artwork, images, text, and other materials you submit (collectively, "Customer Content"). Because you control what you submit, you — and not Soundstamp — are solely responsible for ensuring you have the right to reproduce it.

By submitting any Customer Content and placing an order, you represent, warrant, and covenant that:

1. You are the sole owner of all rights in the Customer Content, or you hold all licenses, consents, and permissions necessary to authorize its reproduction, replication, duplication, and printing onto physical media, including any rights in the underlying musical composition and the sound recording;

2. Your submission of the Customer Content, and Soundstamp's (and its manufacturing partners') reproduction of it into product(s) at your direction, does not and will not infringe, misappropriate, or violate any copyright, trademark, right of publicity, moral right, contractual right, or other right of any person or entity;

3. You are ordering the product(s) for your own personal, non-commercial use, and not for resale, redistribution, public performance, or export; and

4. All information you provide in connection with your order is true, current, and complete.

You direct and authorize Soundstamp and its manufacturing partners to reproduce the Customer Content solely to fulfill your order. You acknowledge that Soundstamp does not independently verify rights ownership in Customer Content and relies entirely on the representations in this section. Soundstamp reserves the right, in its sole discretion and without liability, to refuse, suspend, or cancel any order, or to decline to reproduce any Customer Content, for any reason, including suspected infringement or incomplete information. No order is effective until accepted by Soundstamp.

You agree to indemnify and hold Soundstamp harmless for any breach of the representations in this section, as set out in Section 18 (Indemnification), which expressly includes claims of intellectual property infringement.

Important Notice About Custom, Made-to-Order Products

All Soundstamp products are custom-made to order based on the Customer Content and options you select. By placing an order, you acknowledge that:

• Products are personalized and are non-refundable except as required by applicable law;

• Production times may vary based on demand, and any stated times are estimates;

• Color and appearance on your screen may differ from the finished product;

• Lathe-cut and short-run records have unique physical and sonic characteristics — including surface noise and variations in appearance and sound quality — that differ from commercially pressed records and are inherent to the artisanal manufacturing process; and

• These products are intended for personal enjoyment.

Section 1: Access and Account

By agreeing to these Terms, you represent that you are at least the age of majority in your state or province of residence, and you consent to allow any of your minor dependents to use the Services on devices you own, purchase, or manage. To use the Services — including browsing our stores or purchasing products — you may be asked to provide information such as your email address and billing, payment, and shipping information. You represent and warrant that all information you provide is correct, current, and complete, and that you have all rights necessary to provide it. You are solely responsible for maintaining the security of your account credentials and for all activity under your account. You may not transfer, sell, assign, or license your account to any other person.

Section 2: Our Products

We have made every effort to represent our products and services accurately. However, colors and product appearance may differ from how they appear on your screen due to your device, settings, and configuration. We do not warrant that the appearance or quality of any product will meet your expectations or match what is depicted in our stores. All product descriptions are subject to change at any time without notice. We reserve the right to discontinue any product and to limit the quantities of any products we offer to any person, geographic region, or jurisdiction on a case-by-case basis.

Section 3: Orders

When you place an order, you are making an offer to purchase. Soundstamp reserves the right to accept or decline your order for any reason at its discretion. Your order is not accepted until Soundstamp confirms acceptance, and we must receive and process your payment before acceptance. Please review your order carefully before submitting, as we may be unable to accommodate cancellation requests after acceptance. If we do not accept, change, or cancel an order, we will attempt to notify you using the email, billing address, and/or phone number provided. Your purchases are subject to return or exchange solely as required by applicable law; because products are custom-made to order, all sales are otherwise final. You represent and warrant that your purchases are for your own personal or household use and not for commercial resale or export.

Section 4: Prices and Billing

Prices, discounts, and promotions are subject to change without notice. The price charged will be the price in effect when the order is placed, as set out in your order confirmation email. Unless otherwise stated, posted prices do not include taxes, shipping, handling, customs, or import charges. Prices in our online stores may differ from prices in physical stores or stores operated by third parties. From time to time we may offer promotions governed by separate terms; if those conflict with these Terms, the promotion terms govern. You agree to provide current, complete, and accurate purchase, payment, and account information, and to promptly update it. You represent and warrant that (i) the payment information you provide is true, correct, and complete; (ii) you are authorized to use the payment method; (iii) charges you incur will be honored by your payment provider; and (iv) you will pay all charges at posted prices, including shipping, handling, and applicable taxes.

Section 5: Shipping and Delivery

We are not liable for shipping or delivery delays. All delivery times are estimates only and are not guaranteed. We are not responsible for delays caused by shipping carriers, customs processing, weather, or other events outside our control. Once we transfer products to the carrier, title and risk of loss pass to you.

Section 6: Intellectual Property (Our Services)

Our Services — including all trademarks, brands, text, displays, images, graphics, reviews, video, audio, and the design, selection, and arrangement thereof — are owned by Soundstamp, its affiliates, or licensors and are protected by U.S. and foreign intellectual property laws. These Terms permit you to use the Services for your personal, non-commercial use only. You must not reproduce, distribute, modify, create derivative works of, publicly display, publicly perform, republish, download, store, or transmit any material on the Services without our prior written consent. Nothing in these Terms grants any license or rights under any patent, trademark, copyright, or other intellectual property of Soundstamp, Shopify, or any third party except as expressly provided. Soundstamp's names, logos, product and service names, designs, and slogans are trademarks of Soundstamp or its affiliates or licensors, and may not be used without prior written permission. Shopify's marks are trademarks of Shopify. All other marks are the property of their respective owners.

Section 7: Optional Tools

You may be given access to third-party tools we neither monitor nor control. We provide access "as is" and "as available," without warranties of any kind and without endorsement, and have no liability arising from your use of them. Use of optional tools is entirely at your own risk; you should review the relevant third-party provider's terms. New features we offer in the future are also subject to these Terms.

Section 8: Third-Party Links

The Services may contain materials and links to third-party websites and functionality. We are not responsible for examining or evaluating third-party content or accuracy and are not liable for any harm related to your access to third-party sites or your purchase or use of third-party products or services. Review third parties' policies before transacting, and direct any complaints regarding third-party products or services to the third party.

Section 9: Relationship with Shopify

Soundstamp is powered by Shopify, which enables us to provide the Services to you. However, any sales and purchases you make in our store are made directly with Soundstamp. By using the Services, you acknowledge and agree that Shopify is not responsible for any aspect of any sales between you and Soundstamp, including any injury, damage, or loss resulting from purchased products and services. You hereby expressly release Shopify and its affiliates from all claims, damages, and liabilities arising from or related to your purchases and transactions with Soundstamp.

Section 10: Privacy Policy

All personal information we collect through the Services is subject to our Privacy Policy [LINK], and certain personal information may also be subject to Shopify's Privacy Policy. By using the Services, you acknowledge that you have read these policies. Because the Services are hosted by Shopify, Shopify collects and processes information about your access to and use of the Services in order to provide and improve them. Information you submit may be transmitted to and shared with Shopify and third parties that may be located in countries other than where you reside, in order to provide the Services to you. Section 11: Feedback

If you submit any ideas, suggestions, feedback, reviews, proposals, or other content ("Feedback"), you grant us a perpetual, worldwide, sublicensable, royalty-free license to use, reproduce, modify, publish, distribute, and display such Feedback in any medium for any purpose, including commercial use. You represent and warrant that (i) you own or have all necessary rights to all Feedback; (ii) you have disclosed any compensation or incentives received in connection with it; and (iii) it complies with these Terms. We have no obligation to keep Feedback confidential, to compensate you, or to respond. We may (but need not) monitor, edit, or remove Feedback we determine to be unlawful, offensive, infringing, or otherwise objectionable. You agree your Feedback will not violate any third-party right or contain unlawful, abusive, obscene, or malicious content, and that you will not misrepresent your identity or the origin of any Feedback. You are solely responsible for your Feedback, and we assume no liability for it.

Section 12: Errors, Inaccuracies, and Omissions

Occasionally information in the Services may contain typographical errors, inaccuracies, or omissions relating to product descriptions, pricing, promotions, offers, shipping charges, transit times, or availability. We reserve the right to correct any such errors and to change or update information or cancel orders if any information is inaccurate, at any time without prior notice (including after you have submitted your order).

Section 13: Prohibited Uses

You may access and use the Services for lawful purposes only. You may not, directly or indirectly: (a) use the Services for any unlawful or malicious purpose; (b) violate any international, federal, state, provincial, or local law, regulation, or ordinance; (c) infringe upon our or any third party's intellectual property rights; (d) harass, abuse, defame, intimidate, or harm any person; (e) transmit false or misleading information; (f) send, receive, upload, download, use, or re-use any material that does not comply with these Terms; (g) transmit any "junk mail," "chain letter," "spam," or similar solicitation; (h) impersonate any person or entity; or (i) engage in conduct that restricts anyone's use of the Services or that may harm Soundstamp, Shopify, or users, or expose them to liability. You further agree not to: (a) upload viruses or malicious code; (b) reproduce, duplicate, copy, extract, sell, resell, or exploit any portion of the Services; (c) collect or track others' personal information; (d) spam, phish, pharm, or pretext the Services; (e) use any robot, spider, scraper, data-extraction tool, AI tool (such as agentic AI), or other automated means to access the Services; or (f) interfere with, bypass, or circumvent security, authorization, or robot-exclusion measures. We may suspend, disable, or terminate your account at any time, without notice, if we determine you have violated these Terms.

Section 14: Agents

14.1 This section ("Agent Terms") applies if you use, allow, enable, or cause the deployment of an Agent to access, use, or interact with any Services. "Agent" means any software or service that takes autonomous or semi-autonomous action on behalf of, or at the instruction of, any person or entity and that can be executed on behalf of or using a person's device, without direct supervision.

14.2 No Agent may access, use, or interact with the Services unless, at all times, it identifies itself and operates in strict accordance with Section 14.4. In addition, no Agent may access, use, or interact with the Services if we have requested that it refrain.

14.3 We may limit, including by technical measures, whether and how any Agent accesses, uses, and interacts with the Services.

14.4 Agents must: (i) in all HTTP/HTTPS requests, identify that the request is from an Agent and disclose its name by including Agent/[agent name] in the user-agent string; (ii) not conceal or obfuscate that any interaction is from an Agent, including by mimicking human behavior or completing/circumventing CAPTCHAs; (iii) respond truthfully to any prompt seeking to determine whether interactions come from a human or a computer; and (iv) not circumvent any measure intended to block, limit, or control Agent access.

Section 15: Termination

We may terminate this agreement or your access to the Services (or any part) in our sole discretion at any time without notice, and you will remain liable for all amounts due up to and including the date of termination. The following sections survive termination: Content Rights & Reproduction Authorization, Intellectual Property, Feedback, Termination, Disclaimer of Warranties, Limitation of Liability, Indemnification, Dispute Resolution and Arbitration, Severability, Waiver; Entire Agreement, Assignment, Governing Law, Privacy Policy, and any other provisions that by their nature should survive.

Section 16: Disclaimer of Warranties

The information presented on or through the Services is provided for general information only. We do not warrant the accuracy, completeness, or usefulness of this information, and any reliance you place on it is at your own risk. EXCEPT AS EXPRESSLY STATED BY SOUNDSTAMP, THE SERVICES AND ALL PRODUCTS OFFERED THROUGH THE SERVICES ARE PROVIDED "AS IS" AND "AS AVAILABLE," WITHOUT ANY REPRESENTATION, WARRANTIES, OR CONDITIONS OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING ALL IMPLIED WARRANTIES OR CONDITIONS OF MERCHANTABILITY, MERCHANTABLE QUALITY, FITNESS FOR A PARTICULAR PURPOSE, DURABILITY, TITLE, AND NON-INFRINGEMENT. WE DO NOT GUARANTEE THAT YOUR USE OF THE SERVICES WILL BE UNINTERRUPTED, TIMELY, SECURE, OR ERROR-FREE. SOME JURISDICTIONS DO NOT ALLOW THE DISCLAIMER OF IMPLIED WARRANTIES, SO THE ABOVE MAY NOT APPLY TO YOU.

Section 17: Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY LAW, IN NO CASE SHALL SOUNDSTAMP, OUR PARTNERS, DIRECTORS, OFFICERS, EMPLOYEES, AFFILIATES, AGENTS, CONTRACTORS, SERVICE PROVIDERS, OR LICENSORS, OR THOSE OF SHOPIFY AND ITS AFFILIATES, BE LIABLE FOR ANY INJURY, LOSS, CLAIM, OR ANY DIRECT, INDIRECT, INCIDENTAL, PUNITIVE, SPECIAL, OR CONSEQUENTIAL DAMAGES OF ANY KIND, INCLUDING WITHOUT LIMITATION LOST PROFITS, LOST REVENUE, LOST SAVINGS, LOSS OF DATA, OR REPLACEMENT COSTS, WHETHER BASED IN CONTRACT, TORT (INCLUDING NEGLIGENCE), STRICT LIABILITY, OR OTHERWISE, ARISING FROM YOUR USE OF THE SERVICES OR ANY PRODUCTS PROCURED USING THE SERVICES, EVEN IF ADVISED OF THE POSSIBILITY.

TO THE FULLEST EXTENT PERMITTED BY LAW, OUR TOTAL AGGREGATE LIABILITY TO YOU FOR ALL CLAIMS ARISING OUT OF OR RELATING TO THE SERVICES OR ANY PRODUCT SHALL NOT EXCEED THE GREATER OF (A) THE TOTAL AMOUNT YOU PAID TO SOUNDSTAMP IN THE SIX (6) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM, OR (B) ONE HUNDRED U.S. DOLLARS ($100). SOME JURISDICTIONS DO NOT ALLOW CERTAIN LIMITATIONS, SO PORTIONS OF THE ABOVE MAY NOT APPLY TO YOU.

Section 18: Indemnification

You agree to indemnify, defend, and hold harmless Soundstamp, Shopify, and our affiliates, partners, officers, directors, employees, agents, contractors, licensors, and service providers from any losses, damages, liabilities, or claims, including reasonable attorneys' fees, payable to any third party arising out of (1) your breach of these Terms or any document incorporated by reference, including any breach of the representations and warranties in the Content Rights & Reproduction Authorization section; (2) your violation of any law or the rights of a third party, including any claim that Customer Content or its reproduction infringes or misappropriates any copyright, trademark, right of publicity, or other intellectual property or proprietary right; or (3) your access to or use of the Services. We will notify you of any indemnifiable claim, provided that a failure to promptly notify will not relieve you of your obligations unless you are materially prejudiced. We may control the defense and settlement of such claim at your expense, including choice of counsel, but will not settle a claim requiring non-monetary obligations from you without your consent (not to be unreasonably withheld). You will cooperate in the defense, including by providing relevant documents. This section survives termination.

Section 19: Reporting Claimed Infringement

If you believe content reproduced or displayed through the Services infringes a copyright or other right you own or control, please contact us at contact@soundstampvinyl.com with: (i) identification of the work claimed to be infringed; (ii) identification of the material at issue and information reasonably sufficient to locate it (e.g., order number); (iii) your contact information; (iv) a statement of your good-faith belief that the use is not authorized; and (v) a statement, under penalty of perjury, that the information in your notice is accurate and that you are the rights holder or authorized to act on its behalf. We will review valid notices and may remove material, refuse or cancel orders, and take other action in our discretion.

Section 20: Severability

If any provision of these Terms is determined to be unlawful, void, or unenforceable, that provision shall nonetheless be enforceable to the fullest extent permitted by applicable law, the unenforceable portion shall be deemed severed, and the determination shall not affect the validity and enforceability of any remaining provisions.

Section 21: Waiver; Entire Agreement

Our failure to exercise or enforce any right or provision of these Terms shall not constitute a waiver of that right or provision. These Terms and any policies or operating rules we post constitute the entire agreement between you and us regarding your use of the Services, superseding any prior or contemporaneous agreements, communications, and proposals, whether oral or written, including prior versions of these Terms. Any ambiguities shall not be construed against the drafting party.

Section 22: Dispute Resolution and Binding Arbitration

PLEASE READ THIS SECTION CAREFULLY. IT AFFECTS YOUR LEGAL RIGHTS, INCLUDING YOUR RIGHT TO FILE A LAWSUIT IN COURT AND TO HAVE A JURY TRIAL.

22.1 Informal Resolution. Before initiating any arbitration, you agree to first contact us at contact@soundstampvinyl.com and provide a written description of the dispute and your contact information. The parties will attempt in good faith to resolve the dispute informally for at least sixty (60) days before commencing arbitration.

22.2 Agreement to Arbitrate. Except as set out below, any dispute, claim, or controversy arising out of or relating to these Terms, the Services, or any product — whether based in contract, tort, statute, or otherwise — that is not resolved informally shall be resolved by final and binding arbitration administered by the American Arbitration Association (AAA) under its Consumer Arbitration Rules, rather than in court. The arbitration will be conducted in Kings County, New York or, at your election, by video or telephone or based on written submissions. Judgment on the award may be entered in any court of competent jurisdiction.

22.3 Class-Action Waiver. YOU AND SOUNDSTAMP AGREE THAT EACH MAY BRING CLAIMS AGAINST THE OTHER ONLY IN AN INDIVIDUAL CAPACITY, AND NOT AS A PLAINTIFF OR CLASS MEMBER IN ANY PURPORTED CLASS, COLLECTIVE, OR REPRESENTATIVE PROCEEDING. The arbitrator may not consolidate more than one person's claims or preside over any form of class or representative proceeding.

22.4 Exceptions. Either party may bring an individual claim in small-claims court if it qualifies, and either party may seek injunctive or equitable relief in a court of competent jurisdiction to protect its intellectual property or confidential information.

22.5 30-Day Right to Opt Out. You may opt out of this Section 22 by sending written notice to contact@soundstampvinyl.com within thirty (30) days of first accepting these Terms, stating your name, the email associated with your account, and a clear statement that you wish to opt out of arbitration. Opting out will not affect any other provision of these Terms.

22.6 Survival. This Section 22 survives termination of your relationship with Soundstamp.

Section 23: Assignment

You may not delegate, transfer, or assign these Terms or any of your rights or obligations without our prior written consent, and any such attempt is null and void. We may transfer, assign, or delegate these Terms and our rights and obligations without consent or notice to you.

Section 24: Governing Law and Venue

These Terms and any separate agreements under which we provide you Services shall be governed by and construed in accordance with the laws of the State of New York, without regard to its conflict-of-law provisions. Subject to the arbitration provision in Section 22, you and Soundstamp consent to the exclusive jurisdiction and venue of the state and federal courts located in Kings County, New York for any dispute not subject to arbitration.

Section 25: Changes to These Terms

You can review the most current version of these Terms at any time on this page. We reserve the right, in our sole discretion, to update, change, or replace any part of these Terms by posting updates to our website. It is your responsibility to check periodically for changes. We will notify you of material changes in accordance with applicable law, and such changes will be effective on the date specified in the notice. Your continued use of or access to the Services following the posting of changes constitutes acceptance of those changes.
